Unique Considerations When Forming a Clean Tech Venture

Matt Lyons and Alan Bickerstaff, partners at Andrews Kurth in the Clean Tech and Technology & Emerging Companies practice groups, will discuss the unique considerations when starting a business in the clean tech space ranging from solar to biomass companies.

Matt Lyons practices corporate and securities law, where he specializes in representing private and public technology and other emerging growth companies. Matt advises companies, entrepreneurs and investors on forming and operating businesses, raising capital through private and public offerings, buying and selling companies, and on complying with the periodic reporting and Sarbanes-Oxley requirements of the federal securities laws. He also regularly counsels companies and their boards on corporate governance and executive compensation matters. He also represents and maintains relationships with a number of prominent venture capital, private equity and investment banking firms, and has participated in the formation of several venture capital funds. Matt has consistently been named as one of the leading lawyers in Texas for the area of Technology: Corporate and Commercial in the Chambers USA Rankings. He also been Martindale-Hubbell "Peer Review Rated" for Ethical Standards and Legal Ability. In 2005, Matt was named a "Texas Rising Star" in the area of Securities and Corporate Finance by Texas Super Lawyers and Texas Monthly Magazine.

Alan Bickerstaff is a Corporate and Securities partner who focuses on representing entrepreneurs and public and private emerging growth companies on formation, operations and corporate governance matters; securities law reporting and compliance matters; private equity and venture capital financings; public offerings and mergers and acquisitions. Alan represents companies in a wide variety of industries, including the software, internet, energy, semiconductor, renewable energy, clean technology, life sciences, and telecommunications industries. Alan has also represented numerous institutional investors in venture capital financings and private equity transactions as well as underwriters in various public securities offerings. Alan received his JD from The University of Texas School of Law and his BBA in Finance from the University of North Texas.
